Welcome to Canyonite! The terms “we,” “us,” and “our” refer to Canyonite. Canyonite operates this store and website, including all related information, content, features, tools, products, and services, to provide you with a curated shopping experience (the “Services”). Canyonite is powered by Shopify, which enables us to provide the Services to you.
These Terms of Service (the “Terms”), together with any policies referenced herein, describe your rights and responsibilities when you use the Services. When you place an order, you make an offer to purchase the items in your cart. We reserve the right to accept or decline any order at our discretion. Your order is not accepted until we confirm acceptance and process payment.
Please review orders carefully before submitting. We may be unable to accommodate cancellations after acceptance. If we do not accept, change, or cancel an order, we will attempt to notify you via the email, billing address, and/or phone number provided at checkout.
Your purchases are subject to our Refund Policy [LINK]. You represent and warrant that your purchases are for personal or household use and not for resale or export.
SECTION 4 – PRICES AND BILLING
Prices, discounts, and promotions are subject to change without notice. The price charged will be the price in effect at the time of order and will appear in your confirmation email. Unless expressly stated, prices exclude taxes, shipping, handling, customs, and import charges.
Prices in our online store may differ from prices offered elsewhere. Promotions may be governed by additional terms; if those conflict with these Terms, the promotion terms control.
You agree to provide current, complete, and accurate purchase and account information, and to promptly update email, payment method, and expiration dates as needed. You represent and warrant that: (i) any payment information you provide is true and complete; (ii) you are authorized to use the payment method; (iii) charges will be honored by your payment provider; and (iv) you will pay all amounts due, including taxes and shipping.
SECTION 5 – SHIPPING AND DELIVERY
Processing: Orders are processed within 1–2 business days (excluding weekends and holidays). A shipping confirmation with tracking will be emailed once your order ships.

Shipping charges are calculated and displayed at checkout. Delivery times are estimates only and are not guaranteed. We are not liable for delays caused by carriers, customs, weather, or events outside our control. Upon transfer of goods to the carrier, title and risk of loss pass to you.
International duties & taxes: Import duties, VAT, and fees are the customer’s responsibility.
Lost or damaged shipments: If your package is lost or arrives damaged, contact us within 7 days of the stated delivery date and include photos of the packaging and item(s). We will work with the carrier to resolve the issue.
Address accuracy: Please verify your shipping address at checkout. We are not responsible for shipments sent to addresses entered incorrectly.

SECTION 6 – INTELLECTUAL PROPERTY
All content and materials within the Services—including trademarks, logos, text, images, graphics, video, audio, product reviews, and the selection and arrangement thereof—are owned by Canyonite, its affiliates, or licensors, and are protected by U.S. and international intellectual property laws.

“Canyonite” names, logos, product and service names, designs, and slogans are trademarks of Canyonite or its licensors. You may not use these without prior written permission. “Shopify” and related marks are trademarks of Shopify Inc. All other marks belong to their respective owners.
SECTION 7 – OPTIONAL TOOLS
We may provide access to third-party tools we neither monitor nor control. You acknowledge that such tools are provided “as is” and “as available” without warranties or endorsements. We assume no liability arising from your use of optional third-party tools. Your use is at your sole risk and subject to any third-party terms.
We may introduce new features or tools in the future; such additions are deemed part of the Services and subject to these Terms.

Canyonite is powered by Shopify, which enables us to provide the Services. All sales made through our store are between you and Canyonite. Shopify is not responsible for any aspect of transactions between you and Canyonite. By using the Services, you expressly release Shopify and its affiliates from claims arising out of or relating to your purchases and transactions with Canyonite.
SECTION 10 – PRIVACY POLICY
Your use of the Services is subject to our Privacy Policy. Because our store is hosted by Shopify, certain personal information is processed by Shopify to operate and improve the Services. Information you submit may be transferred to Shopify and third-party service providers, including across borders. THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” EXCEPT AS EXPRESSLY STATED BY CANYONITE, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES; SOME LIMITATIONS MAY NOT APPLY TO YOU.
SECTION 16 – LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL CANYONITE OR OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, OR LICENSORS (OR SHOPIFY AND ITS AFFILIATES) BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, SAVINGS, DATA, OR REPLACEMENT COSTS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR ANY PRODUCTS PURCHASED THROUGH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO CANYONITE FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.
SECTION 17 – INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Canyonite (and Shopify) and our respective affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your breach of these Terms, your violation of law or third-party rights, or your use of the Services.
We will notify you of any claim and may control the defense at your expense. We will not agree to any settlement that imposes non-monetary obligations on you without your consent (not unreasonably withheld). You agree to cooperate with the defense of indemnified claims.
SECTION 18 – SEVERABILITY
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
SECTION 19 – WAIVER; ENTIRE AGREEMENT
Our failure to enforce any right or provision is not a waiver of such right or provision. These Terms, together with any policies posted on the site (including our Privacy Policy, Shipping Policy, and Refund Policy), constitute the entire agreement between you and Canyonite regarding the Services and supersede all prior or contemporaneous communications and proposals.
Any ambiguity in these Terms will not be construed against the drafting party.

You may not assign, transfer, or delegate these Terms or your rights or obligations without our prior written consent; any attempted assignment is void. We may assign or transfer our rights and obligations under these Terms without restriction.

These Terms and any disputes arising out of or relating to them or the Services are governed by the laws of the State of Arizona, and applicable U.S. federal law, without regard to conflict-of-laws principles. You and Canyonite consent to the exclusive jurisdiction and venue of the state and federal courts located in Arizona for the resolution of any disputes not subject to arbitration or that cannot be brought in small-claims court.
